JPT strictly complies with the Company Law Securities Law listed company governance codes and self-regulatory rules as well as all regulatory requirements of the
China Securities Regulatory Commission (CSRC) and Shanghai Stock Exchange (SSE). Guided by the Articles of Association we have continuously optimized our corporate
governance system established a multi-tier governance structure covering the shareholders’ general meeting board of directors and its special committees and built a Annual General Meeting Extraordinary General Meeting
modern governance mechanism with clear responsibilities checks and balances and efficient collaboration laying a solid institutional foundation for stable operation and

As the decision-making body accountable to the shareholders’ general meeting the Board of Directors performs its duties in strict compliance with applicable laws
regulations and the Articles of Association. The Board has established four specialized committees: the Strategy and ESG Management Committee the Audit Committee
the Remuneration and Assessment Committee and the Nomination Committee supported by well-defined procedural rules to ensure standardized and efficient
operations. As of the end of 2025 the Board comprises nine directors including six non-executive directors and three independent directors with independent directors Board Meetings Supervisory Board Meetings

During the reporting period in response to updated regulatory requirements and evolving legal standards the Company amended its Articles of Association and related Committee Meetings Committee Meetings
