以電子方式發布公司通訊之安排簡介根據自2023年12月31日起生效的擴大無紙化上市機制及以電子方式發布公司通訊規定下香港聯合交易所有限公司證券上市規則（「上市規則」）第2.07條，諾誠健華醫藥有限公司（「公司」）謹此通知閣下，本公司將以電子通訊方式向其股東（「股東」）（附註）

發佈本公司日後的公司通訊（「公司通訊」）1，並僅應股東要求向其寄發印刷本形式的公司通訊。

就此而言，以下安排將自2024年3月1日起生效。

1.可供採取行動的公司通訊2

本公司將以電子通訊方式（通過電子郵件）向股東個別地發送可供採取行動的公司通訊。如果本公司沒有獲取股東的電子郵箱地址或其提供的電子郵箱地址無效，本公司將以印刷本形式向其發送可供採取行動的公司通訊，連同一份索取股東有效電子郵箱地址的表格，以便將來以電子通訊方式發送可供採取行動的公司通訊。

2.公司通訊（可供採取行動之公司通訊除外）

本公司將在本公司網站（www.innocarepharma.com）及聯交所網站（www.hkexnews.hk）上發佈公司通訊（「網上版本」）。

然而，本公司擬於2024年6月舉行的股東週年大會上修訂其章程，其修訂須通過股東批准，在修訂章程之前，本公司將於公司通訊刊發日期通過電子郵件方式或郵寄方式（在本公司沒有獲取股東有效電子郵箱地址時）向股東發送公司通訊網上版本的登載通知（「登載通知」），該通知將同時提供英文和中文版本。

徵集電子聯絡資料

為確保及時收到可供採取行動的公司通訊，公司建議閣下透過掃描本函隨附之回條（「回條」）上列印的閣下專屬二維碼來提供閣下的電子郵件地址。或者，閣下也可以簽署回條並交回公司的香港股份過戶登記處（「股份過戶處」）香港中央證券登記有限公司，地址為香港灣仔皇后大道東 183 號合和中心 17M 樓。

股東有責任提供有效的電子郵件地址。若本公司沒有獲取股東的電子郵件地址或所提供的電子郵件地址無效，本公司將按照上述安排行事，包括，就公司通訊，在公司當時有效的組織章程大綱和細則允許的情况下，停止向股東發送登載通知。就可供採取行動的公司通訊，如果本公司向股東提供的電子郵件地址發送可供採取行動的公司通訊而沒有收到任何“未送達信息”，則本公司將被視為已遵守上市規則。

索取公司通訊和可供採取行動的公司通訊的印刷本

若 閣下希望收取公司通訊之印刷版，請填妥回條並交回股份過戶處，或發送電子郵件至 InnoCare.ecom@computershare.com.hk，並註明閣下的姓名、地址以及收取公司通訊印刷版的要求。請注意，收取未來公司通訊印刷版之指示由收悉閣下指示當日起計三年內有效，此後將過期。
