根据《中华人民共和国证券法》（以下简称“《证券法》”）、《中华人民共和国公司法》（以下简称“《公司法》”）和中国证券监督管理委员会《上市公司股东会规则（2025修订）》（以下简称“《股东会规则》”）等法律、法规和其他有关规范性

文件的要求，北京大成（珠海）律师事务所（以下简称“本所”）接受珠海恒基达鑫国际化工仓储股份有限公司（以下简称“公司”）的委托，指派律师参加公司2025年第二次临时股东大会（以下简称“本次股东大会”）。

一、本次股东大会的召集、召开的程序

（一）本次股东大会的召集程序

本次股东大会由董事会提议并召集。2025年9月4日，公司召开第六届董事会第十七次会议，审议通过了《关于召开2025年第二次临时股东大会的议案》。

召开本次股东大会的通知及提案内容，公司于2025年9月6日在深圳证券交易所官方网站、巨潮资讯网及《中国证券报》《证券时报》进行了公告。

（二）本次股东大会的召开程序

本次股东大会采取现场投票、网络投票相结合的方式召开。

2025年9月23日14时30分，本次股东大会于珠海市香洲区石花西路167号西九

大厦十八楼会议室召开，由公司董事长主持本次股东大会。

本次股东大会网络投票时间为：2025年9月23日。通过深圳证券交易所交易系统进行网络投票的时间为2025年9月23日9:15-9:25、9:30-11:30、13:00-15:00；通过深

圳证券交易所互联网投票系统投票的具体时间为2025年9月23日9:15-15:00。

本所律师认为，本次股东大会由董事会召集，会议召集人资格、会议的召集及召开程序符合相关法律、行政法规和《珠海恒基达鑫国际化工仓储股份有限公司章程》（以下简称“《公司章程》”）《珠海恒基达鑫国际化工仓储股份有限公司股东大会议事规则》（以下简称“《议事规则》”）的规定。

二、本次股东大会的出席会议人员、召集人

（一）出席会议人员资格

根据《公司法》《证券法》《公司章程》《议事规则》及本次股东大会的通知，本次股东大会的出席对象为：

1.于股权登记日2025年9月18日（星期四）下午收市时在中国证券登记结算有

限责任公司深圳分公司登记在册的公司全体股东均有权出席股东大会，并可以以书面形式委托代理人出席会议和参加表决，该股东代理人不必是公司股东。

（二）会议出席情况

本次会议现场出席及网络出席的股东和股东代表共64人，代表股份115684278股，占公司有表决权股份总数的28.6742%。具体情况如下：

经公司董秘办及本所律师查验出席凭证，现场出席本次股东大会的股东和股东代表共1人，代表股份108414300股，占公司有表决权股份总数的26.8723%。

经本所律师核查，出席会议的股东及股东代理人所代表的股东登记在册，股东代理人所持有的《授权委托书》合法有效。

2.网络出席情况

根据深圳证券信息有限公司提供的网络投票结果，通过网络投票的股东63人，代表股份7269978股，占公司有表决权股份的1.8020%。

3.中小股东出席情况

出席本次会议的中小股东和股东代表共计63人，代表股份7269978股，占公司有表决权股份的1.8020%。其中现场出席0人，代表股份0股，占公司有表决权股份总数的0.00%；通过网络投票63人，代表股份7269978股，占公司有表决权股份总数的

1.8020%。

（三）会议召集人本次股东大会的召集人为公司董事会。

本所律师认为，出席本次股东大会人员的资格合法有效（网络投票股东资格在其进行网络投票时，由深交所网络投票系统进行认证）；出席会议股东代理人的资格符合有关法律、行政法规及《公司章程》《议事规则》的规定，有权对本次股东大会的议案进行审议、表决。

三、本次股东大会的会议提案、表决程序及表决结果

（一）本次股东大会审议的提案

1.提案根据《关于召开2025年第二次临时股东大会的通知》（以下简称“《股东大会通知》”），提请本次股东大会审议的提案为：

（1）审议《关于修订<公司章程>及相关议事规则的议案》

（2）审议《关于制定及修订公司部分治理制度的议案》，该议案的子议案包括：

《独立董事工作制度》《董事及高级管理人员引咎辞职和罢免制度》《累积投票实施细则》《对外担保管理制度》《对外投资管理制度》《风险投资管理制度》《募集资金管理制度》《关联交易管理制度》《理财业务管理制度》

（3）审议《关于续聘公司2025年度审计机构的议案》

2.其中议案（1）为特别决议议案，需经出席现场有表决权股份的三分之二以上表

决比例通过；议案（2）的各项子议案为逐项表决议案，需对子议案逐项单独计票表决。

上述议案已经公司董事会于《股东大会通知》中列明并披露，本次股东大会实际审议事项与《股东大会通知》内容相符。

（二）本次股东大会的表决程序经查验，本次股东大会采取与会股东记名方式及其他股东网络投票方式就上述议案进行了投票表决。会议按法律、法规及《公司章程》《议事规则》规定的程序对现场表决进行计票、监票，并根据深圳证券交易所交易系统及互联网提供的网络投票数据进行网络表决计票；由会议主持人当场公布了现场表决结果；网络投票结束后，深圳证券信息有限公司向公司提供了本次会议网络投票的表决总数和表决结果。

（三）本次股东大会的表决结果

本次股东大会列入会议议程的议案共3项，经合并网络投票及现场表决结果，本次股东大会审议议案表决结果如下：
