as ‘JMC’ or the ‘Company’) sent out relevant proposals of the Board meeting to all

Directors the members of the Executive Committee and relevant people via dedicated

email on August 16 2026.II. Time Venue & Manner of the Meeting

The Board meeting was held by way of written voting from August 16 2026 to

August 21 2026. The procedures of convening and holding the meeting complied

with the relevant laws administrative regulations departmental rules normative

documents and the Articles of Association of JMC.III. Attendance of Directors

Eleven Directors shall attend this Board meeting and Eleven Directors were present.The Board Secretary attended this Board meeting as an observer.IV. Resolutions

The Directors present at the meeting approved the following resolutions in form of

paper meeting:

1. The Board of Directors approved JMC 2026 Half-year Report and the Extracts

from JMC 2026 Half-year Report.There were 11 votes in favor of this proposal 0 vote against and 0 abstention.JMC 2026 Half-year Report and the Extracts from JMC 2026 Half-year Report were

published on the website www.cninfo.com.cn.

2. The Board of Directors approved Continuous Risk Assessment Report of JMCG

Finance Company.When voting on the proposal the interested Directors Mr. Qiu Tiangao and Ms.Zhong Junhua abstained from the voting and all the other Directors voted in favor of

the proposal.
