Jiangling Motors Corporation Ltd. and its Board members warrant that the

information disclosed herein is true accurate and complete and does not contain

any false record misleading statement or material omission.Recently the Company convened an employee congress electing Mr. Luo Wenhua as

the Employee Representative Director for the Company's Twelfth Board of Directors.His term shall commence on the date of election by the Employees’ Congress and

conclude upon the expiry of the Twelfth Board of Directors' term. Mr. Luo Wenhua

complies with the qualifications promulgated in the provisions of the Company Law

of the People's Republic of China and the Articles of Association. Following Mr. Luo

Wenhua's election as an Employee Representative Director of the Company the

combined number of Directors serving as senior management personnel and those

representing employees on the Board did not exceed half of the total number of

Directors thereby complying with the requirements of relevant laws and regulations.Mr. Luo Wenhua’s Resume:

Mr. Luo Wenhua born in 1971 holds a Bachelor of Engineering degree in Fine

Chemical Engineering from Nanchang University and a Master of Engineering degree

in Industrial Engineering from Huazhong University of Science and Technology. He is

a senior engineer. He currently serves as Deputy Secretary of the Party Committee

Secretary of the Commission for Discipline Inspection Chairman of the Trade Union

Director of the Party Committee Office and Director of the Party Committee

Publicity Department of Jiangling Motors Co. Ltd. as well as Secretary of the Party

Committee of Jiangling Motors Sales Co. Ltd. Mr. Luo Wenhua has previously

served as Director of the Procurement Center of Jiangling Landwind Automobile Co.Ltd. Director of the Procurement Center of Jiangling Holdings Co. Ltd. Director of

the Manufacturing Department of Jiangling Holdings Co. Ltd. General Manager of

Jiangxi Lingyun Automotive Industry Technology Co. Ltd. and Secretary of the

Party Committee and Executive Deputy General Manager of Jiangxi Isuzu Engine Co.Ltd.As of the disclosure date of this announcement Mr. Luo Wenhua holds no shares in

the Company. He has no affiliated relationships with shareholders holding 5% or more

of the Company's shares the actual controller or other directors and senior

management personnel of the Company. Mr. Luo Wenhua has never been penalized by

the China Securities Regulatory Commission (CSRC) or other relevant authorities

nor has he received disciplinary sanctions from stock exchanges. He is not under

judicial investigation for suspected crimes nor subject to investigation by the CSRC

for suspected violations of laws and regulations. There are no circumstances
