ADAMA Ltd.Announcement on the Resignation of the Chief Financial Officer
and Appointment of the Chief Financial Officer
The Company and all members of the Company’s Board of Directors confirm that all
information disclosed herein is true accurate and complete with no false or misleading
statement or material omission.I. Basic information of the CFO’s Resignation
The Board of Directors of ADAMA Ltd. (hereinafter referred to as the “Board” and the
“Company”) recently received notice from Ms. Efrat Nagar informing the Company of her
resignation as Chief Financial Officer of the Company for personal reasons. Her original term
of office was scheduled to expire on May 13 2027. The resignation took effect as of
September 30 2026. Following her resignation Ms. Efrat Nagar will cease to hold any
position in the Company and its subsidiaries.As of the date of this announcement Ms. Efrat Nagar does not hold any Company shares nor
are there any outstanding public commitments that have not been fulfilled and nothing related
to her resignation needs to be brought to the attention of the Board and shareholders of the
Company. Ms. Efrat Nagar will complete the handover of her duties in accordance with the
Company’s Management Policy for the Departure of Board Members and Senior Executives.The Board thanks Ms. Efrat Nagar for her service and approves the arrangement between the
Company’s wholly-owned subsidiary Adama Agricultural Solutions Ltd.(“Solutions”) and
Ms. Efrat Nagar regarding Ms. Efrat Nagar’s resignation from her positions in Solutions and
the Company.II. Appointment of the Chief Financial Officer
The Company held the 24th Meeting of the 10th Session of the Board of Directors on
September 15 2026 at which the Proposal on the Matters Relating to the Company’s Chief
Financial Officer was reviewed and approved. For details please refer to the Announcement
of Resolution of the 24th Meeting of the 10th Session of the Board of Directors disclosed by
the Company on the same date on cninfo.com.cn (http://www.cninfo.com.cn).According to the Company Law Listing Rules of Shenzhen Stock Exchange Guidelines of
Shenzhen Stock Exchange on Self-discipline Supervision of Listed Companies No.1 -
Standardized Operation of Main Board Listed Companies the Company’s Articles of
Association and other relevant regulations and after being reviewed by the Nomination
Committee the Audit Committee and the Remuneration and Appraisal Committee of the
Board the Board approved the appointment of Mr. Samuel Asher Leibowitz as the Chief
Financial Officer of the Company and his remuneration. The above appointment will be
effective from September 30 2026 and the term of office shall expire on the date when the
term of the 10th Session of the Board expires.Mr. Samuel Asher Leibowitz meets the relevant requirements for taking the above position.There is not any situation that prohibits Mr. Samuel Asher Leibowitz from being the senior
executive of the Company. Mr. Samuel Asher Leibowitz has not been subject to any
punishment imposed by the China Securities Regulatory Commission and the Shenzhen Stock
Exchange. There is no situation of being investigated by judicial authorities for suspected
crimes or being investigated by the CSRC for suspected violations of laws and regulations. Mr.Samuel Asher Leibowitz is not a judgment debtor subject to enforcement. As for the profile of

Appendix: Profile of Mr. Samuel Asher Leibowitz
Mr. Samuel Asher Leibowitz American and Israel born in 1982. He holds a bachelor’s
degree in Finance from Yeshiva University (New York). Mr. Leibowitz currently serves as
the Head of Performance Acceleration for Syngenta Group. He previously held various
positions in ADAMA including Corporate Development M&A Associate R&D Pipeline
Strategy & Financial Lead Head of Global Insecticides Product Strategy and Head of
Global Corporate Strategy and Communication. Before ADAMA Mr. Leibowitz held
various positions in the capital markets space investing mainly in US markets. Mr. Leibowitz
served as a director for Lycored a subsidiary of ADAMA and as Chairman of both Kollant
and Bonide also subsidiaries of ADAMA in the past 5 years.As of the date of this Announcement Mr. Samuel Asher Leibowitz does not directly or
indirectly hold any of the Company’s shares; he does not work in the shareholders holding
more than 5% of the Company’s shares or the actual controller except for the
above-mentioned position in Syngenta Group (which he will resign prior to the effective date
of his appointment at ADAMA) and has no related-party relationship with any shareholders
holding more than 5% of the Company’s shares the actual controllers or other directors and
senior executives of the Company.Mr. Samuel Asher Leibowitz has not been subject to any punishment imposed by the China
Securities Regulatory Commission and the Shenzhen Stock Exchange (“SZSE”) and does
not fall under any of the circumstances stipulated in Article 3.2.2 of Guidelines of the SZSE
on Self-discipline Supervision of Listed Companies No.1 - Standardized Operation of Main
Board Listed Companies issued by the SZSE. Mr. Samuel Asher Leibowitz is not a judgment
debtor subject to enforcement and meets all the qualifications set under the applicable laws
and regulations.
